《中華人民共和國民法典》第一百七十二條規(guī)定，行為人沒有代理權(quán)、超越代理權(quán)或者代理權(quán)終止后，仍然實(shí)施代理行為，相對(duì)人有理由相信行為人有代理權(quán)的，代理行為有效。這是民法典關(guān)于表見代理的規(guī)定。

布萊克法律詞典對(duì)agency by estoppel的解釋是，an agency created by operation of law when a person’s actions have led a third party reasonably to believe that another actor was actually the person’s agent.-also termed apparent agency. Ostensible agency, agency by operation of law. 這是一種根據(jù)法律規(guī)定而形成的代理關(guān)系，當(dāng)某一個(gè)人的行為使第三人合理地相信另一個(gè)行為人是他的實(shí)際代理人時(shí)，就會(huì)形成這種代理關(guān)系。表見代理的代理權(quán)是apparent authority即表像的代理權(quán)， 而不是實(shí)際授予的代理權(quán)（actual authority）. 當(dāng)被代理人的行為對(duì)外表明某人具有代理權(quán)并且第三人合理地相信這種代理權(quán)存在時(shí)，就可能構(gòu)成表像代理權(quán)的授予。（Apparent authority exists when the principal “holds out” another as possessing authority and a third party is reasonably led to believe that authority exists. ）
